ROJAX TERMS OF USE AND CONFIDENTIALITY
Version 1.0

These Terms of Use and Confidentiality ("Terms") govern access to and use of the ROJAX website at rojaxsystem.com and the ROJAX hosted business operations platform (together, "ROJAX" or the "Service").

"ROJAX" refers to the ROJAX software platform, related services, documentation, and brand. The Service is currently provided and operated by Aura Bravo as an individual provider during a pre-incorporation stage. In these Terms, "we," "us," and "our" mean Aura Bravo operating ROJAX. "You" means the organization that is granted access to ROJAX and that organization's authorized users.

These Terms do not identify a separately incorporated or registered ROJAX company. They do not claim that ROJAX is a registered trademark. They do not transfer ownership of ROJAX to any customer or user.

Pricing, trial length, included modules, seats, and other commercial commitments are not set by these Terms. Those items, if any, are set only in a separate commercial or service agreement.

1. ACCEPTANCE

Access to a ROJAX workspace requires acceptance of these Terms.

By creating credentials, accepting an invitation, checking the acceptance box, and continuing, you agree to these Terms.

Your acceptance is recorded against:
- you (the individual user);
- your organization;
- the exact Terms version you accepted;
- the time of acceptance; and
- the source of acceptance (for example, invitation or workspace entry).

A later official Terms version may require a new acceptance before you continue using the Service. Prior acceptance records remain preserved.

If you do not agree, do not access or use ROJAX. There is no option to skip these Terms.

2. AUTHORIZED BUSINESS USE ONLY

ROJAX is provided solely for the authorized internal business operations of the organization that has been granted access.

You may use ROJAX only:
- as an authorized user of that organization;
- for that organization's legitimate business purposes; and
- within the seats, roles, and permissions then in effect.

You may not use ROJAX for personal unrelated purposes, for another organization, or to provide unauthorized access to any other person.

3. ACCOUNTS AND CREDENTIALS

You are responsible for protecting your login credentials and for activity that occurs through your account.

Credentials, invitation links, and workspace access may not be shared with unauthorized persons. You may not share an account in a way that circumvents seats, roles, or permissions.

The organization is responsible for the users it authorizes, including employees, contractors, and other invited users, and for promptly removing access that is no longer authorized.

4. CUSTOMER PROPERTY

You retain your rights to the business, operational, and customer materials you submit to ROJAX ("Customer Materials"). Customer Materials include, for example, your business records, customer lists, documents, files, logos, trademarks, workforce records, and other materials you provide.

Storing or processing Customer Materials through ROJAX does not transfer ownership of those materials to ROJAX.

ROJAX does not claim ownership of:
- your general business ideas;
- your data;
- your documents;
- your pre-existing intellectual property; or
- your customer relationships.

You grant ROJAX a limited right to host, process, transmit, display, organize, back up, and otherwise handle Customer Materials only as needed to provide, secure, maintain, and support the Service.

You are responsible for having lawful authority to provide the information you submit, including information about your workers, customers, vendors, or other third parties.

5. ROJAX INTELLECTUAL PROPERTY

The ROJAX provider retains all rights, title, and interest in and to ROJAX and ROJAX-created proprietary materials. During the current pre-incorporation stage, those rights are held by Aura Bravo as the individual provider and licensor of ROJAX.

This includes, as implemented in ROJAX and to the extent protected by applicable law:
- software and source code;
- object code;
- platform architecture and design;
- user interface and user experience implementations;
- workflows, automations, and business-process implementations;
- documentation, manuals, and training materials;
- branding, names, logos, and visual identity; and
- other proprietary platform materials, including updates and improvements to those materials.

Access to ROJAX does not transfer ownership of ROJAX intellectual property to the customer or to any user.

Subscription, onboarding, configuration, customization, or other fees do not, by themselves, transfer ownership of the ROJAX platform, source code, architecture, interface, workflows, documentation, branding, or other proprietary materials.

No source-code ownership is transferred unless a separate written agreement expressly says so.

These Terms do not claim ownership of open-source software, third-party libraries, third-party services, or other licensed external materials. Those remain subject to their own licenses.

ROJAX names, logos, product names, and visual identity are proprietary brand assets of the ROJAX provider. These Terms do not claim that any ROJAX mark is a registered trademark.

If you voluntarily provide suggestions or product feedback, ROJAX may use that feedback to operate and improve the Service without an obligation to compensate you. This does not assign to ROJAX any unrelated customer intellectual property.

6. LIMITED LICENSE AND RESTRICTIONS

Subject to these Terms and your authorized access period, ROJAX grants you a limited, non-exclusive, non-transferable right to access and use the Service solely for your organization's authorized internal business operations, and only for authorized users.

You may not, without authorization:
- copy, reproduce, clone, or recreate ROJAX or its proprietary components;
- reverse engineer, decompile, disassemble, or attempt to extract source code or underlying architecture, except to the limited extent applicable law prohibits that restriction;
- scrape, harvest, or systematically extract protected platform content, workflows, interface elements, or documentation;
- modify, sublicense, resell, distribute, or commercialize ROJAX or its proprietary components;
- provide unauthorized access to ROJAX; or
- use ROJAX proprietary or confidential materials to build, train, assist, or operate a competing or copy product.

These restrictions apply to ROJAX proprietary materials, confidential information, access, and implementations.

They do not create a blanket employee-style non-compete. They do not prohibit you from independently operating your own business, including a business in the same industry, so long as you do not copy ROJAX or use ROJAX Confidential Information to do so.

7. CONFIDENTIALITY

Through MVP or other authorized access, you may learn non-public information about ROJAX ("ROJAX Confidential Information"). This includes non-public software, source code if disclosed, architecture, interface designs, workflows, documentation, security information, credentials, product plans if disclosed, and other non-public platform information that is treated as confidential or that a reasonable person would understand to be confidential.

You will:
- use ROJAX Confidential Information only to use the Service as authorized;
- protect it with reasonable care;
- not disclose it to unauthorized persons; and
- not use it to build, train, assist, or operate a competing or copy product.

ROJAX will likewise protect your non-public Customer Materials and non-public business information and will not use them except to provide, secure, maintain, and support the Service, or as required by law.

Confidentiality does not apply to information that is or becomes public through no fault of the receiving party, was independently developed without use of the disclosing party's confidential information, was already lawfully known, is received lawfully from another source not bound by confidentiality, or must be disclosed by law. If legally required to disclose confidential information, the receiving party will, where legally permitted, give prompt notice so the disclosing party may seek protection.

8. NO OWNERSHIP TRANSFER

Access to ROJAX is a limited right to use a hosted service. It is not a sale of software and not an assignment of ROJAX intellectual property.

Nothing in these Terms assigns to you any ownership of ROJAX software, source code, architecture, interface, workflows, documentation, branding, or other proprietary platform materials.

Nothing in these Terms assigns to ROJAX any ownership of your general business ideas, Customer Materials, documents, or pre-existing intellectual property.

9. ACCEPTABLE USE

You may not use ROJAX for unlawful activity; unauthorized access; malware; attacks or disruption; credential abuse; infringement; fraud; abusive automated access; or attempts to bypass security, permissions, or usage limits.

10. SERVICE CONDITION

ROJAX is provided as a hosted software service on an "as is" and "as available" basis to the maximum extent permitted by law.

ROJAX does not guarantee uninterrupted or error-free service. These Terms do not promise specific modules, features, results, certifications, or commercial terms.

Some jurisdictions do not allow certain disclaimers. In those jurisdictions, the disclaimer applies to the fullest extent permitted.

11. PRIVACY

How personal information is handled is described in the ROJAX Privacy Policy at rojaxsystem.com/privacy.

12. CHANGES TO TERMS

ROJAX may publish a new Terms version. When a new official version becomes active, users may be required to accept it before continuing to use the Service.

ROJAX preserves historical Terms versions and historical acceptance records, including the exact version accepted and the time of acceptance.

The Service is currently provided by Aura Bravo as an individual provider of the ROJAX platform. These Terms do not identify a separately registered legal company, registered office, company number, or tax identification number.

14. GOVERNING LAW AND DISPUTES

These Terms do not select a governing law, court venue, arbitration institution, or other dispute-resolution forum.

If a dispute arises, the parties will first attempt to resolve it in good faith.

A later official Terms version may specify governing law, venue, or a dispute forum after those details are approved.
